These Terms & Conditions ("Terms") govern your access to and use of the website and services provided by NSH-Sky Pay Private Limited ("NSH-Sky Pay", "we", "us", or "our"). By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

NSH-Sky Pay provides payment collection, instant payouts, virtual accounts, settlement management, merchant dashboard, and related API-based payment infrastructure services (the "Services") to businesses. Certain Services may be delivered in partnership with regulated banking and financial institutions.

To use our Services, you must be a legally registered business (or an authorized representative of one) capable of entering into a binding contract, and you must complete our onboarding and KYC verification process.

You are responsible for the accuracy of the information you provide during registration and for keeping your account credentials confidential.

You agree to:

• Use the Services only for lawful business purposes.
• Provide accurate KYC, business, and transaction information, and update it when it changes.
• Keep your API keys and account credentials secure.
• Comply with applicable payment, tax, and data protection laws relevant to your use of the Services.

Use of the Services is subject to the fees set out in your service agreement or pricing plan with NSH-Sky Pay. Fees may include transaction charges, settlement fees, and other charges as agreed. We will provide notice of any material change to our fees.

You may not use the Services to:

• Process transactions for illegal goods, services, or activities.
• Engage in money laundering, fraud, or terrorist financing.
• Circumvent our KYC, risk, or compliance checks, or misrepresent the nature of your business.
• Interfere with or disrupt the integrity or performance of our platform or infrastructure.

All software, APIs, documentation, trademarks, and content associated with the Services are owned by NSH-Sky Pay or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms — nothing here transfers ownership of our intellectual property to you.

Our Services may rely on or link to third-party banking partners, card networks, or other providers. We are not responsible for the acts, omissions, or availability of third-party services outside our reasonable control.

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of any kind, express or implied, regarding the Services.

To the maximum extent permitted by law, NSH-Sky Pay will not be liable for any indirect, incidental, or consequential damages arising from your use of the Services, and our total liability for any claim will not exceed the fees paid by you in the three months preceding the claim.

You agree to indemnify and hold NSH-Sky Pay harmless from any claims, losses, or expenses arising from your breach of these Terms, misuse of the Services, or violation of applicable law.

We may suspend or terminate your access to the Services if you breach these Terms, pose a compliance or security risk, or as required by a regulator or banking partner. You may terminate your account at any time, subject to settlement of any outstanding obligations.

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts at Gurgaon, Haryana.

We encourage you to first raise any dispute with our support team. Where a dispute cannot be resolved informally, it may be referred to arbitration or the courts as specified in your service agreement or as required by applicable law.

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date at the top of this page, and continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
